Nell Minow spent decades as an activist for shareholder rights and corporate governance reform, co-founding The Corporate Library — a governance research firm — and later becoming vice chair at Glass Lewis. She has been called "the CEO killer" for her persistent campaigns holding executives accountable for poor performance. Minow co-wrote "Corporate Governance" with Robert Monks, one of the foundational textbooks on the subject. She continues at ValueEdge Advisors, advising institutional investors on governance issues and commenting extensively in financial media. Her work on compensation governance — including analysis of pay ratios, severance arrangements, and the design of long-term incentive programs — has provided institutional shareholders with the analytical tools to evaluate whether executive pay structures genuinely align management incentives with long-term shareholder value creation or primarily serve to enrich management at shareholders' expense.
